Ownership Of Site Content

Unless WOWMD^® explicitly specifies, all materials included in the sites, including future present or past versions, source, domain names, object code, and the site content are licensed, owned, or controlled by WOWMD^®, its affiliates or subsidiaries, and are protected from unauthorized copying, dissemination or use by trademark, copyright, patent and other treaties, regulations, rules and laws.

The Site may not be reproduced, copied, distributed, or downloaded in any way, in part or whole, except with the express authorization of WOWMD^® and as is explicitly provided in these terms. Any unauthorized use of the site content is not allowed.

Your License To Use Site Content On Our Site

Subject to your stringent compliance with these terms and any Additional Terms, WOWMD^® grants you a personal, limited, non-commercial, non-exclusive, non-assignable, revocable, and non-transferable license to view, access, and download (if WOWMD^® expressively offer downloading rights) the site content (except for object code and source, as made available for access and use through standard web browsers).

WOWMD^® grants you revocable, limited permission, subject to the restrictions in these terms, to share with others potions of the site content through the following methods when a site feature on purpose makes such sharing available (Viral distribution): (a) sending site content to acquaintances or friends fee or charge; or (b) displaying and posting a copy of site content on a personal website; or (c) displaying and copying a copy of the site content on a third party web site that allows users to post content, provided that the posting is allowed an in line with the third party web site’s policies, terms and conditions, and so long as that the third party web site does not for access to those materials or link to those materials with services, products or advertising.

If you take part in vital distribution, you agree that you will not post any performance claims about a WOWMD^® or WOWMD^® brand, including but not limited to other product brands. For example, you must not claim that WOWMD^® or WOWMD^® brand products work in a specific way or cure a health condition, but it would be acceptable to state that “WOWMD^®’s is my favorite skincare brand” or “I think WOWMD^® supplements are great!” with your viral distribution. In other words, only WOWMD^® can make promises, statements, or claims about its products. You also agree not to imply that WOWMD^® and you or any WOWMD^® brand are connected in any way or that WOWMD^® approves of your opinions or comments.

Widgets

The sites may offer certain content that you may decide to include in your personal blog, web page, third-party website or profile pages of social networks, or similar pages by pasting the HTML or code provided by WOWMD^® and categorized as embed code (or a similar identifying label) (widgets). Widgets are site content and subject to the revocable, limited license described above. You agree that you will not include or otherwise make available a Widget on a website or web page content that is unlawful, distasteful, abusive, threatening, tortious, harassing, defamatory, obscene, invasive of other’s privacy, racially, hateful, ethnically or otherwise objectionable (in the sole opinion of WOWMD^®).

As explained in the “Declaimer of Warranties” section of these terms, WOWMD^® does not in any way make specific warranties about Widgets. WOWMD^® may stop providing the services necessary for the Widgets to operate at any time for any given reason without any obligation or liability to you.

You agree that us allowing you to use Widgets on your Personal Page, does not in any way provide you (or any third party) with any intellectual property rights to or in the Widget or any content made available by any Widget. Also, WOWMD^® may inactivate Widgets that you include on your Personal Page if you happen to violate these terms (as determined by WOWMD^® in its sole discretion) or for any or no reason without any obligation or liability to you. You also agree to refrain from using (or attempting to use) the Widget to display content other than intended or provided by WOWMD^® to be displayed via a specific Widget.

Reporting Copyright And Other Intellectual Property Violations

You are not allowed to utilize sites for any purpose or in any manner that violates or infringes the rights of any third party. WOWMD^® encourages you to report any content on the sites that you feel or believe that oversteps your rights. Only a person authorized to act on behalf of the owner or intellectual property right owner can report potentially infringing content. We have a users accounts termination policy in place for users who (at our reasonable discretion) are repeat infringers.

If is usually not possible to determine if the DMCA requirements have been met or if your intellectual property rights have been infringed. We may request you to provide us with additional information before we can remove any infringing material. In case a dispute develops as the rightful owner of the rights in question, we reserve the right to pull down your content together with that of the supposed infringer pending determination of the matter.

You will receive a notice from WOWMD^® if your material has been pulled down based on a third-party complaint of alleged infringement of the intellectual property rights of the third party.

Information And Content You Submit

The sites may offer you the opportunity to take part and openly post content in forums, via interactive features, and through other communication functionality (community forums). You agree that your User Content will be preserved as non-proprietary and non-confidential and will not be reverted. Upon the requirements of the WOWMD^®, you will furnish WOWMD^® with any releases, substantiation, or documentation necessary to verify your compliance with these Terms.

You also recognize that the internet may be subject to breaches of security and you should understand that submission of user content or other information may not be safe, and you should consider this before sending any information to WOWMD^®.

You remain the sole owner of your user content, but you admit that WOWMD^® must obtain a license from you to be able to accept your user content. Accordingly, you grant to WOWMD^® and its affiliates, parents and subsidiaries, licensees, successors in interest, assigns, and each of their directors, officers, agents, stakeholders, employees, and representatives (each a “WOWMD^® Party” and collectively, the “WOWMD^® Parties”) irrevocable, unrestricted, worldwide, transferable, perpetual, and royalty-free license (but not obligation) to use, host, distribute, copy, perform, display, store, modify or otherwise exploit all or any section of your user content for any purpose whatsoever in all formats, on or via any technology, media, or device hereafter developed or now known.

You further agree that WOWMD^® is open to utilizing any concepts or ideas contained in any user content for any purpose whatsoever, including but not limited to developing, producing/manufacturing, and marketing services and products; and crafting information articles, without any kind of payment obligation to you. You authorize WOWMD^® to publish your user content in a searchable format that may be accessed by Internet and site users. Except as restricted by law, you accept to waive any moral rights you may have in user content you submit, even though such user content is changed or altered in a manner you do not agree.

You agree that WOWMD^® has no duty to enforce or monitor your user content’s intellectual property rights but has the right to enforce and protect its and its licensees’ rights to your user content. You further agree and acknowledge that WOWMD^® will not have any obligation to you in connection with your user content and that WOWMD^® may or may not display, monitor, or accept your user content and may remove it at any time.

Unsolicited ideas: Kindly do not submit unsolicited user content to any of our sites or to WOWMD^® party. WOWMD^® does not at any point accept unsolicited user content, including but not limited to services, products, features, or websites. In most cases, projects developed by or on our behalf may seem to others to appear similar to their own creative materials or ideas, and so to avoid such misunderstanding, we choose not to accept such content. Therefore, avoid sending unsolicited user content to WOWMD^® via the sites, via mail, community forums or otherwise. However, if you choose to submit unsolicited user content, you agree to grant WOWMD^® the license and right to your submission as clearly stated above in the section “Information and Content You Submit.”

User Interaction And Disputes

You are exclusively responsible for your interaction with other users of the sites, whether offline or online. We are not liable or responsible for the conduct of any user. We reserve the right but have no obligation whatsoever, to monitor or become involved in disputes between you and other site users. User Content Policy

No images or pictures of anyone but you and your family or friends:If you decide to upload photos to the sites, link to embedded videos, or include real people images, ensure that they are of you or someone you know quite well and that they have granted your permission to post.

No third-party materials:Your user content should not contain phrases, trademarks or any visible logos, or other third-party content or materials. Do not submit or use any user content belonging to another person without permission from that person. (e.g., including uploading material or content found elsewhere on the internet).

Music not allowed: Ensure that your user content does not contain music unless the music is your own composition and performance or you have complete rights to the work, including any performances. No jingles or otherwise, making use of the existing music.

Only relevant user content: Your user content must relate to the content on the sites and should be intended to add value to the discussion on the sites – it should not in any way include relevant postings or topics

Adhere to codes of social decency: Ensure respect at all times. No personal attacks. You should at all times learn to express yourself using non-offensive expressions. Harassing, cursing, posting insulting comments, stalking, gossiping, and staging personal attacks or similar actions is totally forbidden. Your user content may not abuse, threaten, or cause harm to other users. Keep information private: Keep in mind that the community forums are public and that user content will be viewed and accessed by other site users. Do not, therefore, post personal information about you or any other person (e.g. never reveal phone numbers, credit card numbers, passwords, street or e-mail addresses, or any other information that may be used to contact, track, or impersonate a person, or which is personal in nature). If you have something that you do not want the world to know or see, do not post it on the sites.

Observe caution when interacting with others: You alone are responsible for your interaction with other site users, whether offline or online. WOWMD^® will not be in any way liable or responsible for the conduct of any site user. WOWMD^® reserves the right, but has no obligation whatsoever, to monitor or become tangled in a dispute between you and other site user (s). Kindly exercise caution and apply common sense as well as your best judgment during your interaction with others, when you post or submit any personal information, and in all other online undertakings,

Do not damage anyone’s computers or the sites: User content may not be the source of spyware, Trojan horses, viruses, or any other technologies likely to impact any computer system or the operation of the sites.

Membership & Registration

We will not be held liable or responsible should you suffer any loss or harm for failing to keep your password secret, allowing someone else to use your account, using someone’s account or password, or suspecting or becoming aware of unauthorized use of your account or password but you fail to tell us promptly.

You agree to be held accountable for obtaining and maintaining all telephone, computer hardware, and other equipment required to access and use our sites. You also agree to conform to the rules, and regulations applicable to your use of our sites, including and not limited to those governing your transmission or use of any data or software. By providing us with your contact information, you consent to receive communication from us at provided contact information. Your use of such services, content, or features is subject to the terms and conditions established by such third parties.

YOUR BUSINESS AND CORRESPONDENCE DEALINGS WITH THIRD PARTIES FOUND THROUGH ANY OF OUR SITES INCLUDING, BUT NOT LIMITED TO THE PAYMENT, REPRESENTATION, AND WARRANTIES ASSOCIATED WITH ANY SUCH UNDERTAKINGS, ARE EXCLUSIVELY BETWEEN YOU AND THE THIRD PARTY.

Social Features

At your absolute and sole discretion and risk, you may decide on using applications that allow interactions between the sites and online services or a third-party website, such as linking your profile on any of the sites. Such applications may connect to, interact with, or gather and/or pull information from and to your site profile. WOWMD^® gives revocable permission to access the links on the sites; so long as that any link to the sites: (a) must not create or frame a border or browser environment around any of the site’s content or otherwise mirror any part of our sites; (b) must not make false impression that WOWMD^® or any WOWMD^® brand or the site link to the sponsoring or endorsing any third party or its services or products, unless the third party has prior written consent from WOWMD^®; (c) must not present incorrect information about or tarnish, disparage, or otherwise, in WOWMD^®’s sole opinion, cause harm to WOWMD^® or its services or products; (d) must not make use of any WOWMD^® trademarks not unless you have prior permission from WOWMD^® presented in writing; (e)must not involve content that could be interpreted as offensive, distasteful or controversial or otherwise in WOWMD^®’s sole opinion objectionable; (f) must not be under your ownership or control, or entity placing link, or otherwise allow you to enable such link with regard to this terms. By linking to the sites, you are in agreement that you do and you are ready to continue complying with the above specified linking requirements. Notwithstanding anything conflicting contained in these terms, WOWMD^® reserves the right to ban linking to the sites for any reason in its absolute and sole discretion.

Mobile Features

The sites may offer services and features that are available to you via your smartphone or other mobile devices. These services and features may include and not limited to the sites’ upload content, the ability to view site content, receive MSS or SMS messages from the sites, download applications to your smartphone, or access other content. We may charge for mobile features and we will disclose the charges prior to completion of registration for the mobile feature. Your carrier may also charge standard messaging, data, and other fees.

Fees and charges may be deducted from your pre-paid balance or appear on your mobile bill. Your carrier may restrict or prohibit certain mobile features and certain mobile features may not be compatible with your mobile device or carrier. In case of any questions regarding these issues, you can contact your carrier. As applicable, instructions on how to opt out of mobile features will be disclosed in connection with mobile features.

You agree that your registered mobile feature will send communications to your mobile device regarding WOWMD^® or a WOWMD^® product or service for which you signed up. If you registered for mobile features, you agree to let WOWMD^® know of any changes to your mobile number and update your accounts on the sites accordingly so as to reflect the changes.

Disclaimer of Warranties

THE SITES (INCLUDING AND NOT LIMITED TO THE SITE CONTENT) ARE “AS IS” AND MADE AVAILABLE “WITH ALL FAULTS” BASIS, AND WITHOUT ANY KIND OF WARRANTIES, EITHER IMPLIED OR EXPRESS. TO THE FULLEST EXTENT AS PERMITTED BY LAW, WOWMD^® PARTIES DISCLAIM ALL WARRANTIES, IMPLIED OR EXPRESS, INCLUDING, BUT WITHOUT LIMITATION TO, THE WARRANTIES OF FITNESS OR A PARTICULAR PURPOSE, MERCHANTABILITY, TITLE, NON-INFRINGMENT, QUIET ENJOYMENT, TRADE, CUSTOM, FREEDOM FROM COMPUTER VIRUS, AND SYSTEM INTEGRATION. THE WOWMD^® PARTIES DO NOT IN WAY WARRANT THAT YOUR USE OF THE SITE OR ACTIVITIES IS LAWFUL IN ANY SPECIFIC JURISDICTION, AND THEREFORE, THE WOWMD^® PARTIES DISTANCE THEMSELVES FROM SUCH WARRANTIES. APPLICABLE LAW MAY NOT PERMIT THE EXCLUSION OF IMPLIED WARRANTIES, AND FOR THIS REASON, THE ABOVE EXCLUSION MAY NOT BE APPLICABLE TO YOU.

THE WOWMD^® PARTIES DO NOT IN ANY WAY WARRANT THAT YOU WILL EXPERIENCE SECURE, UNINTERRUPTED, OR ZERO ERROR WHILE NAVIGATING THE SITE; THAT DEFECTS WILL BE CORRECTED; OR THE SERVER OR THE SITE MAKING THE SITE AVAILABLE IS FREE OF ANY HARMFUL COMPONENTS, INCLUDING AND NOT LIMITED TO VIRUSES. UNDER NO CIRCUMSTANCE WILL WOWMD^® PARTIES BE HOLD ACCOUNTABLE TO YOU OR ANYONE ELSE FOR INJURY, DAMAGE, OR LOSS INCLUDING AND NOT LIMITED TO PERSONAL INJURY OR DEATH. IN SOME STATES, THE LIMITATION OR EXCLUSION OF CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED, AND SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT BE APPLICATION TO YOU.

IN CASE OF DISSATISFACTION WITH ANY PORTION OF THE SITES THE ONLY REMEDY IS THAT YOU STOP USING THE SITE, AND THE EXCLUSIVE AND SOLE MAXIMUM AGGREGATE LIABILITY OF THE WOWMD^® PARTIES FOR ALL CAUSES OF ACTIONS, LOSSES, AND DAMAGES (WHETHER IN TORT, CONTRACT (INCLUDING NEGLIGENCE), OR OTHERWISE) SHALL BE THE GREATER OF $10,00 OR THE TOTAL AMOUNT WAGED BY YOU, IF ANY, TO BE ABLE TO ACCESS THE SITE.

IN THE EVENT THAT YOU INCUR ANY INJURIES, LOSSES, OR DAMAGES, THAT ARISE OUT OF WOWMD^®’S OMISSION OR ACTS, YOU AGREE THAT THE DAMAGES, IF ANY, CAUSED TO YOU ARE NOT SUFFICIENT OR IRREPARABLE TO ENTITLE YOU TO AN INJUNCTION PREVENTING THE EXPLOITATION OF ANY WOWMD^® SITES, PRODUCT, PROPERTY, SERVICE OR OTHER SITE CONTENT UNDER THE OWNERSHIP OR CONTROL OF WOWMD^® PARTIES AND YOU WILL HAVE NO TO RESTRAIN OR ENJOIN THE PRODUCTION, DEVELOPMENT, ADVERTISING, DISTRIBUTION, EXPLOITATION OR EXHIBITION OF THE SITE OR ANY WOWMD^® PRODUCT, PROPERTY, SERVICE, OR ANY OTHER WOWMD^® WEB SITES OR OTHER SITE CONTENT OWNED AND CONTROLED BY WOWMD^®'S PARTIES.

BY AGREEING TO ACCESS THE SITE, YOU UNDERSTAND THAT YOU MAY BE WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE UNSUSPECTED AND NOT KNOWN AT THIS TIME, AND AS REGARDS TO SUCH WAIVER, YOU ADMIT TO HAVE READ AND UNDERSTOOD, AND HEREBY OPENLY WAIVE, THE BENEFITS OF SECTION 1542 OF THE CALIFORNIA’S CIVIL CODE, AND ANY SIMILAR LAW OF ANY TERRITORY OR STATE, WHICH READS AS FOLLOWS:

“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT SUSPECT TO EXIST OR KNOW IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.”

Indemnification

You agreed to defend, indemnify, and hold harmless each of the WOWMD^® parties from against any and all demands, claims, costs, losses, damages, judgment, investigations, liabilities, attorney’s fees and other expenses that may directly or indirectly emanate from or are otherwise indirectly or directly related to; (a) your breach or anticipatory breach of these terms or additional terms; (b) your direct use of the sites or your activity in connection of the sites; (c) your user content, and your use of widgets, applications or viral distribution; (d) your violation of any rule, law, code, regulation, ordinance, order or statute of any governmental and quasi-governmental authorities, including and not limited to all administrative, regulatory, and legislative authorities; (e) Material or information transmitted through your electronic gadget (smartphone, computer) even if not submitted by you, that violates, infringes, or misappropriate any trademark, copyright, trade dress, trade secret, privacy, publicity, patent or any other person’s rights or defamation; (f) any misrepresentation made by you; or (g) the use of your by WOWMD^®’s parties as permitted under these terms, the Privacy Policy or any other written agreement between you and WOWMD^®. As required, under these terms WOWMD^® parties expect full cooperation from you as far as the defense of any claims is concerned.

The WOWMD^® parties reserve the right to assume the exclusive control and defense of any matter otherwise subject to indemnification by you, and you will under no circumstance move forward to settle any claim without the prior written consent of the WOWMD^®'s Parties’ duly authorized employee.

Termination

In our sole discretion, we reserve the right to suspend, terminate, or block your access to and use of the sites, without prior notice and liability, for any reason including and without limitation, if we believe or notice that your conduct has failed to conform with these terms. WOWMD^® also reserves the right to carry out an investigation on the suspected violations of these terms, including but not limited to violations arising from any e-mails sent by you to the sites or WOWMD^®.

Disputes And Arbitration

Except for infringement-related disputes touching WOWMD^® or your intellectual property (like trademarks, copyrights, patents, or trade address) or where WOWMD^® is pursuing a preliminary injunction (excluded disputes), you accept that all disputes between WOWMD^® and you (whether such disputes involve third-party or not) with regard to these terms, your purchase of any WOWMD^® product, your use of WOWMD^® sites or any WOWMD^® promotion or advertisement, will be resolved by binding, individual arbitration under the rules of the American Arbitration Association for arbitration of disputes related to consumer and you hereby explicitly waive trial by jury. Neither WOWMD^® nor you will take part in a class-wide arbitration or class action for any claims protected by this agreement.

Dispute resolution provision will be overseen by the Federal Arbitration Act and, where consistent, California law. In case of any dispute, the arbitration proceedings shall be conducted in Los Angeles County, California, in English language by 3 Arbitrators appointed in accordance with the rules of the American Arbitration Association. If the American Arbitration Association is not able or unwilling to set a hearing date within 160 days from the date of filing the case, then either you or WOWMD^® can decide to have the arbitration administered by the Judicial Arbitration and Mediation Services instead.

At your election, a telephone or desktop arbitration if available can be used for claims of below $10,00. For arbitration hearings conducted in person at your residence at the time of dispute is submitted to arbitration, WOWMD^® will pay the arbitration costs (minus attorney’s fees) for claims below $5,000 in the event that you are successful. In all other cases, you will be responsible for 50% of any arbitration’s cost and you will also be fully responsible for your attorney’s fees. Judgment rendered by the arbitration may be entered in any court as long as it has competent jurisdiction. Any provision of applicable law notwithstanding, the arbitrators will have no authority to award exemplary or punitive damages.

Miscellaneous

WOWMD^®’s failure to reinforce upon or insist on the strict performance of any of these term’s provisions or to respectfully act to a breach of these terms by you or other site users does not in any way amount to a waiver and will not limit the rights of WOWMD^® with respect to such breach or subsequent breaches. No waiver by WOWMD^® of any kind as pertains to these terms will be of any effect or force unless presented in writing and duly signed by an authorized WOWMD^® office. Also, such waiver will not be deemed as a continuing or further waiver of such condition or term. Neither in the course of conduct between a trade practice or the parties will act to make modifications to these terms. WOWMD^® may give its rights and assign its duties under these terms to any party of their choice at any given time except for prior written consent of WOWMD^®. Headings, section titles, or paragraphs are inserted only as a matter of convenience and to not and shall not in any way be used to explain any provision or paragraph. By virtue of WOWMD^® having drafted these terms, you agree that these terms will not be interpreted against WOWMD^®.
